Terms of Service

1. Acceptance
By creating an account or using BreakTemplate (the “Service”), you agree to be bound by these Terms of Service. If you do not agree, do not use the Service.
2. Account
You must provide accurate information when registering and keep your credentials secure. You are responsible for all activity under your account. Authentication is provided by a third party (Clerk); their terms also apply to the authentication portion of your account.
3. Acceptable use
You agree not to use the Service to: (a) violate Whatnot’s terms or any applicable law; (b) collect personal data from third parties without lawful basis; (c) attempt to disrupt, reverse engineer, or gain unauthorized access to the Service; or (d) resell or sublicense access without our written consent.
4. Payment
Paid plans are billed in advance on a recurring basis through our payment processor (Stripe). You authorize us to charge your chosen payment method until you cancel. Fees are non-refundable except where required by law. We may change pricing on 30 days’ notice; changes take effect at your next renewal.
5. Intellectual property
The Service, including its software, design, and trademarks, is owned by us or our licensors. You retain ownership of the data you upload (“Customer Data”). You grant us a limited license to host, process, and display Customer Data solely to operate the Service for you.
6. Termination
You may cancel at any time from your account settings. We may suspend or terminate your account for violation of these Terms or for non-payment. On termination we will delete your Customer Data within a reasonable period, subject to backups and legal retention requirements.
7. Disclaimer of warranties
The Service is provided “as is” without warranty of any kind, express or implied. We do not warrant that the Service will be uninterrupted, error-free, or fit for any particular purpose.
8. Limitation of liability
To the maximum extent permitted by law, our total liability arising out of or relating to the Service is limited to the greater of (a) the amount you paid us in the twelve months preceding the claim or (b) USD $100. We are not liable for indirect, incidental, special, consequential, or punitive damages, including lost profits or revenue.
9. Governing law
These Terms are governed by the laws of the State of Delaware, USA, without regard to conflict-of-laws rules. You agree to the exclusive jurisdiction of the state and federal courts located in Delaware for any dispute arising out of or relating to these Terms.
10. Changes
We may update these Terms from time to time. Material changes will be communicated by email or in-product notice. Continued use of the Service after changes take effect constitutes acceptance.
